We use AI to transcribe your coaching calls, summarize them, and turn them into recommendations and tasks in The Den.
Your coach can see your AI results. Not every result is checked by a person before you see it.
AI can be wrong. Check anything important before you act on it.
We only train our AI on data that has been stripped of names and pooled with data from many other clients. Nobody can be picked out of it.
Our AI providers (like Anthropic and OpenAI) are not allowed to train their own models on your data.
Our sister company, Ironbooks, follows the same rules when it uses this data.
You can't use our AI or its results to build a competing product.
1. Who These Terms Apply To
These AI Terms (the "AI Terms") apply to every client of Painter Growth Ventures Ltd. ("Painter Growth", "we" or "us") who uses our coaching programs, The Den, or any other Painter Growth service that uses artificial intelligence (together, the "Services").
These AI Terms form part of, and are incorporated into, each of the following agreements (each an "Agreement"):
your Painter Growth Coaching Agreement; and
The Den Subscription Agreement, where these AI Terms appear as Schedule A.
If these AI Terms conflict with an Agreement about AI Features, these AI Terms govern. Capitalized terms not defined here have the meanings given in the applicable Agreement.
2. Definitions
"Client" means the business that has entered into an Agreement with Painter Growth, and includes its users.
"Client Data" means information the Client or its users submit to or share through the Services, including owner updates and "brain dumps" (in text, audio or video), business plans, targets and actual results, financial and operational metrics, and tasks.
"Coaching Materials" means recordings, transcripts, notes, summaries, worksheets, business plans, goals, scorecards and other materials created in or for any one-on-one session, Tribe Call, group call, mastermind, workshop, event or other coaching activity run by Painter Growth in which the Client or any of its users participated. This includes materials created before or after the Client accepted these AI Terms, and materials created under a current or earlier agreement with Painter Growth. Coaching Materials are owned by Painter Growth under the Coaching Agreement.
"Ironbooks" means Ironbooks Financial Ltd., an affiliate of Painter Growth under common control.
"IP Rights" means patents, copyrights, trademarks, trade secrets, moral rights and all other intellectual property rights anywhere in the world.
"Painter Growth Content" means the Painter Growth library, playbooks, standard operating procedure templates, scripts, training, courses, frameworks, methodologies and other content we make available.
"Sensitive Data" means (a) health or medical information about any person, (b) credit card, debit card, bank account or other financial account numbers, (c) social insurance numbers, social security numbers, driver's licence numbers or other government identification numbers, (d) biometric data, and (e) information about a person's race, religion, sexual orientation, criminal history or similar special categories under applicable law.
3. AI Features
The Services use artificial intelligence and machine learning to deliver core functions. "AI Features" means the artificial intelligence, machine learning and large language model features of the Services, including:
(a) recording, transcription and analysis of coaching calls, owner updates and other audio, video and text;
(b) AI-generated call summaries, key points and action items;
(c) AI-generated recommendations drawing on Painter Growth Content and coaching methodology;
(d) automated creation of tasks, standard operating procedure drafts, to-do items and critical conversation guides;
(e) AI-generated summaries, insights, plan versus actual analysis and forecasts; and
(f) any conversational assistant, query or chat feature we make available.
The AI Features operate on Client Data and Coaching Materials automatically as part of the Services and in response to queries from the Client and its users.
4. Inputs and Outputs
Client Data and Coaching Materials processed by the AI Features (including recordings, transcripts, owner updates, business plans, results data and any prompts or queries) are "Inputs".
Content generated by the AI Features (including transcripts, summaries, recommendations, tasks, standard operating procedure drafts, insights, forecasts and responses) are "Outputs".
Outputs are generally presented in real time and may not have been reviewed by a person.
5. Human Review
The Client's Painter Growth coach may review selected Outputs as part of coaching, but Painter Growth does not review every Output before the Client sees it. Coach review reduces, but does not eliminate, the risk of error.
Painter Growth does not use the AI Features to make decisions that produce legal or similarly significant effects on individuals without human review.
6. Training
Painter Growth may use Inputs and Outputs to train, fine-tune, evaluate or otherwise improve the AI Features and the Services, but only if such Inputs and Outputs have been (a) de-identified so that they do not identify the Client, its users or any other person or business, and (b) aggregated with data across other clients.
Painter Growth may share Inputs and Outputs that meet both conditions with Ironbooks, and Ironbooks may use them for the same purposes, subject to the same conditions, to improve the AI Features of the Services and the Ironbooks platform.
Painter Growth may also use the Client's own Inputs and Outputs, without de-identification, to improve the accuracy of the AI Features solely for the Client's benefit (for example, to learn the Client's business, goals, team structure and preferences).
For these purposes (and without limiting the Client's other obligations with respect to Client Data generally), such data is provided by the Client to Painter Growth strictly "AS IS".
Painter Growth will not permit any third-party AI provider to use Inputs or Outputs to train or improve that provider's generally available models.
7. Aggregated Data Safeguards
When Painter Growth or Ironbooks create benchmarks or other aggregated data from Inputs and Outputs, they will:
(a) remove or irreversibly transform information that identifies the Client, any user or any other person or business;
(b) not disclose outside Painter Growth and its affiliates any benchmark drawn from a group of fewer than twenty (20) clients without further aggregation;
(c) not attempt to re-identify the Client from aggregated data, and contractually prohibit recipients from doing so; and
(d) not disclose aggregated data in a way they reasonably determine could identify the Client directly or by inference, including by small-sample or single-market inference.
8. Group Calls
Where Coaching Materials from a group call, Tribe Call or event include more than one client, Painter Growth will not show another client's confidential business information in the Client's Outputs, and will apply the same protection to the Client's information in other clients' Outputs.
9. Intellectual Property
(a) Inputs. Inputs other than Coaching Materials are deemed to be Client Data, subject to these AI Terms and the applicable Agreement. Coaching Materials remain Painter Growth's property under the Coaching Agreement.
(b) Outputs. As between the parties, the Client may use Outputs for its internal business purposes, subject to the applicable Agreement and these AI Terms. Painter Growth retains all IP Rights in the AI Features, the underlying models, prompts, recommendation logic and task templates, in Painter Growth Content, and in aggregated data.
10. No Model Distillation
Notwithstanding Section 9(b), in no case is the Client permitted to use Outputs for the purpose of developing a competing product (including a competing model, coaching program or business platform) to the Services, or to systematically extract Outputs or Painter Growth Content to build a dataset for training any artificial intelligence or machine learning model.
11. Output Restrictions
Notwithstanding Section 9(b), the Client shall not use any Output for:
(a) use of personally identifiable information without authorization;
(b) impersonating any person or individual;
(c) violating any laws, including employment, tax and securities laws;
(d) infringing the rights (including IP Rights) of any other person;
(e) fraud; or
(f) preparing or supporting filings, applications or representations to tax authorities, lenders, investors, insurers or courts without first having the relevant Output independently reviewed by the Client or its own professional advisors.
12. Similar Outputs
The Client acknowledges that Outputs provided to the Client may be similar or identical to Outputs independently provided by Painter Growth to others, particularly recommendations, standard operating procedures, task templates, benchmarks and standard commentary drawn from Painter Growth Content.
13. Infringement by Outputs
Due to the nature of the AI Features, Painter Growth does not represent or warrant that (a) any Output does not incorporate or reflect third-party content or materials or (b) any Output will not infringe third-party IP Rights. Painter Growth gives no indemnity for claims of IP Rights infringement or misappropriation by Outputs.
14. Disclaimer
OUTPUTS ARE GENERATED THROUGH MACHINE LEARNING PROCESSES AND ARE NOT TESTED, VERIFIED, ENDORSED OR GUARANTEED TO BE ACCURATE, COMPLETE OR CURRENT BY PAINTER GROWTH, INCLUDING WHERE A COACH HAS VIEWED THEM. AI-GENERATED RECOMMENDATIONS, TASKS, FORECASTS, INSIGHTS AND SUMMARIES ARE INFORMATIONAL TOOLS TO SUPPORT THE CLIENT'S BUSINESS DECISIONS AND ARE NOT LEGAL, TAX, ACCOUNTING, FINANCIAL, INVESTMENT, EMPLOYMENT OR SAFETY ADVICE. THE CLIENT SHOULD INDEPENDENTLY REVIEW AND VERIFY ALL OUTPUTS AS TO APPROPRIATENESS FOR ANY OR ALL CLIENT USE CASES OR APPLICATIONS. THE WARRANTY DISCLAIMERS AND LIMITATIONS OF LIABILITY IN THE APPLICABLE AGREEMENT APPLY TO THE AI FEATURES AND OUTPUTS.
15. Special Restrictions on Use of AI Features
Without limiting any restrictions in the applicable Agreement, the Client will not and will not permit anyone else to:
(a) use the AI Features or any Output to infringe any third-party rights;
(b) use the AI Features or any Output to develop, train or improve any AI or ML models (separate from authorized use of the Services);
(c) represent any Output as being approved or vetted by Painter Growth or by the Client's coach, or represent any Output as having been prepared by a lawyer, chartered professional accountant, certified public accountant or other licensed professional;
(d) represent any Output as being an original work or a wholly human-generated work;
(e) use the AI Features for automated decision-making that has a legal or similarly significant effect on individuals (including hiring, firing, discipline, compensation, credit or insurance decisions about the Client's employees, contractors or customers) unless the Client does so with adequate human review and in compliance with applicable law;
(f) submit to the AI Features any Sensitive Data, or any prompt designed to extract information about other clients of Painter Growth or Ironbooks, or about the underlying models; or
(g) use the AI Features for purposes or with effects that are discriminatory, harassing, harmful or unethical.
16. Third-Party Providers
The following third parties provide AI Features. The Client agrees to abide by any third-party terms and conditions relating to the AI Features listed below ("Third-Party Terms") to the extent they apply to end users.
Anthropic, PBC
Function: Large language model inference used in recommendations, task and SOP generation, summaries, plan versus actual analysis and assistant features. Configured so that client data is not used to train Anthropic's models.

Grain
Function: Recording and transcription of coaching calls, and AI-generated call summaries, key points and action items. Grain uses OpenAI's API to generate summaries and states that meeting data is not used to train OpenAI's models.
Third-Party Terms: Grain Terms of Service and Privacy Policy, at grain.com/privacy
OpenAI, L.L.C.
Function: Speech-to-text transcription of audio and video owner updates submitted in The Den, and text embeddings used to match client data to Painter Growth Content. Accessed through the API, which is configured so that client data is not used to train OpenAI's models.

Ironbooks Financial Ltd. (affiliate)
Function: Hosting, operation and support of platform components, connected financial data for Ironbooks clients, and use of de-identified, aggregated data under Sections 6 and 7.

17. Transparency
Painter Growth will identify in its help materials the principal AI Features in use and will label Outputs that have not been reviewed by a person where practicable. Painter Growth will comply with applicable laws and published guidance relating to the use of artificial intelligence in Canada and the United States as they apply to the Services.
18. Changes to These AI Terms
Painter Growth may update these AI Terms, including the provider list in Section 16, to reflect new features, changing practices or laws. We will post the updated AI Terms on this page with a new effective date. For material changes, we will give clients at least thirty (30) days' notice by email or through The Den.
Adding or replacing a provider in Section 16 is not a material change if the new provider is bound by the same no-training restriction in Section 6.
No update will expand how Painter Growth or Ironbooks use identifiable client data without the client's written or electronic consent.
